These Terms & Conditions govern your use of Cipher Trace Access (“we”, “us”, “our”) and our website cipheraccess.online. By accessing our website, creating an account, purchasing a subscription, requesting a service, registering as a professional, or otherwise using any part of our platform or services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.

1. Our Services

1.1 Cipher Trace Access provides access to and coordination of professional services including care giving, babysitting, household assistance, driving, chef services, respite care and tutoring.

1.2 We take reasonable steps to screen and verify professionals; however, screening does not guarantee a person's future conduct, performance, suitability or reliability.

2. Eligibility and Authority

2.1 By using Cipher Trace Access, you confirm that you are legally capable of entering into a binding agreement and that all information you provide is true, accurate, complete and current.

2.2 If you are acting on behalf of another person, household, company, child, or organization, you confirm that you have the legal authority to do so.

2.3 You must promptly update any information that becomes inaccurate or incomplete.

2.4 We reserve the right to refuse registration, suspend access, or terminate an account where we reasonably believe information provided is false, misleading, fraudulent, or otherwise unacceptable.

3. User Responsibilities

You agree to provide accurate information and use our services lawfully and responsibly. You must not provide false or misleading information, misuse our platform, harass or abuse another user, or infringe upon their rights.

4. Client Responsibilities

4.1 Clients are responsible for:

• Providing accurate information concerning the household, assignment, location, and needs of the person receiving Services;
• Disclosing material information reasonably necessary for safe and appropriate service delivery;
• Providing a reasonably safe working environment;
• Treating Professionals respectfully and lawfully;
• Providing clear and reasonable instructions;
• Paying all applicable fees when due;
• Complying with all applicable laws;
• Immediately reporting serious concerns, misconduct, accidents, suspected abuse, theft, harassment, threats, or other incidents to Cipher Trace Access and, where appropriate, the relevant authorities;
• Ensuring that minors and vulnerable persons are appropriately supervised where required; and
• Not requiring Professionals to perform tasks that are unlawful, unsafe, inappropriate, or outside the agreed scope of work.

4.2 Failure to provide accurate information may affect our ability to provide an appropriate match and may result in suspension or termination of Services.

5. Payments and Subscriptions

5.1 Subscription fees are payable according to the package and payment terms displayed at the time of purchase.

5.2 Our subscription packages may change from time to time.

5.3 We reserve the right to change prices, packages, features, eligibility requirements, or benefits for future subscription periods.

5.4 Service and subscription fees are non-refundable once the relevant service or subscription period has commenced.

5.5 Any applicable taxes, transaction charges, payment-provider fees, or other legally required charges may be payable by the User unless expressly stated otherwise.

6. Direct Dealings and Bypassing the Platform

6.1 Users must not deliberately circumvent Cipher Trace Access after being introduced to a Professional or Client for the purpose of avoiding applicable fees, subscriptions, commissions, administrative charges, or other contractual obligations.

6.2 Where a Client and Professional knowingly bypass Cipher Trace Access in breach of an applicable written agreement, Cipher Trace Access reserves the right to suspend or terminate their accounts and pursue any lawful contractual or other remedies available to it.

6.3 Nothing in this clause prevents a person from exercising a right that cannot lawfully be restricted.

7. Confidentiality

7.1 Users may receive confidential or private information through the Platform or while providing or receiving Services.

7.2 Users must not disclose or misuse confidential information except where:

• disclosure is authorized;
• disclosure is necessary to provide the Services;
• disclosure is required by law;
• disclosure is made to a competent authority; or
• disclosure is otherwise permitted under our Privacy Policy or applicable law.

8. Data Protection and Privacy

8.1 Cipher Trace Access may collect and process personal information necessary to operate the Platform, verify Users, facilitate matching, provide Services, communicate with Users, process payments, maintain records, protect security, investigate incidents, and comply with legal obligations.

8.2 Personal data will be processed in accordance with applicable data-protection law and our Privacy Policy.

8.3 Where applicable, Cipher Trace Access will implement reasonable technical and organizational measures designed to protect personal information against unauthorized access, loss, misuse, alteration, disclosure, or destruction.

8.4 Users acknowledge that no electronic transmission, storage system, or online service can be guaranteed to be completely secure.

8.5 Nothing in these Terms removes or restricts rights granted to data subjects under applicable data-protection legislation.

9. Third Party Services

9.1 Our Platform may contain links to or integrate with third-party websites, payment providers, communication services, software, databases, or other services.

9.2 We do not control third-party services and are not responsible for their availability, security, accuracy, privacy practices, content, or conduct.

9.3 Your use of a third-party service may be governed by that third party's separate terms and policies.

10. Electronic Communications

10.1 You consent to receiving communications electronically, including account notices, service updates, payment notices, administrative communications, security alerts, and other messages relating to your use of the Platform.

10.2 Electronic records may be used to establish communications, transactions, consents, and other matters to the extent permitted by applicable law.

11. Safety and Conduct

Clients and professionals are expected to maintain a safe, respectful and professional environment. Serious incidents, suspected abuse, theft, fraud, threats, harassment or other unlawful conduct must be reported to us and, where appropriate, the relevant authorities.

12. Limitation of Responsibility

12.1 We make reasonable efforts to provide reliable services and appropriate professional matches, but we do not guarantee uninterrupted services, successful matches, or the conduct or performance of any independent professional.

12.2 To the maximum extent permitted by Ghanaian law, we are not liable for indirect, consequential or third-party losses arising from the use of our platform or services.

12.3 Nothing in these Terms excludes liability that cannot legally be excluded under Ghanaian law.

13. Suspension and Termination

We may suspend or terminate an account or refuse service where we reasonably believe a user has breached these Terms, provided false information, failed to make required payments, engaged in misconduct, fraud, unlawful activity, or poses a risk to our users, staff or business.

14. Privacy

We collect and process personal information in accordance with applicable Ghanaian data-protection laws and our Privacy Policy. By using our services, you acknowledge and consent to the processing of information necessary to provide and administer our services.

15. Intellectual Property

All content, branding, logos, designs, software and materials belonging to Cipher Trace Access remain our property and may not be copied, reproduced, modified or commercially used without our written permission. Your use of the Platform does not transfer ownership of any intellectual property to you.

16. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Cipher Trace Access, its directors, officers, employees, agents, contractors, affiliates, and representatives against claims, liabilities, losses, damages, costs, and reasonable expenses arising from or connected with:

• Your breach of these Terms;
• Your unlawful or negligent conduct;
• Your misuse of the Platform;
• Information or documents you provide that are false or misleading;
• Your violation of another person's rights;
• Your violation of applicable law;
• Your conduct toward another User; or
• Your use of Services contrary to our instructions or applicable policies.

This clause does not require you to indemnify us to the extent that doing so would be unlawful.

17. Governing Law

These Terms are governed by the laws of the Republic of Ghana. Any dispute shall first be addressed in good faith between the parties and, where unresolved, may be referred to a competent court or other lawful dispute resolution forum in Ghana.

18. Severability

If any provision of these Terms is determined by a competent authority to be invalid, unlawful, or unenforceable, that provision shall be modified or severed only to the extent necessary, and the remaining provisions shall continue in full force and effect to the extent permitted by law.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or written agreements expressly incorporated into them, constitute the agreement governing your use of the Platform and Services, except where a separate written agreement expressly supersedes or modifies these Terms.

20. Platform Used at Your Own Responsibility

20.1 You acknowledge that using an online platform and engaging human service providers involves inherent risks.

20.2 You are responsible for exercising reasonable judgment, verifying information relevant to your particular circumstances, communicating important requirements, following safety procedures, and promptly reporting concerns.

20.3 Cipher Trace Access does not promise that every risk can be identified, prevented, or eliminated.
